BOARD OF DIRECTORS

The Board of Directors of LOG Commercial Properties is responsible for defining the strategic policies of the Company in general and, among other attributions, for establishing its general business policies and for electing its Executive Officers and for supervising their management.

The Board of Directors meets once every three months and, extraordinarily, whenever convened by its Chairman or any of its members.

In accordance with Brazilian Corporate Law, the Board of Directors shall consist of at least 3 board members elected at the General Assembly, each of whom may be shareholders or not. The Bylaws of LOG Commercial Properties, notwithstanding, determines that the Board of Directors may be composed of up to 7 members, whose mandates will be unified and will last for 1 year from the date of election and they may be reelected.

EXECUTIVE OFFICERS

The Executive Officers of LOG Commercial Properties are responsible for its daily management. They have individual responsibilities established by the Bylaws of the Company and its Board of Directors.

In accordance with the Bylaws of LOG Commercial Properties, the board may have up to three officers elected by the Board of Directors for a term in office of one year, reelection is permitted. Any officer may be removed by the Board at any time before the expiration of his/her term in office.

Graduated in Civil Engineering at the Federal University of Minas Gerais (2002), with a postgraduate degree in Finance at Fundação Dom Cabral (2004). He worked at MRV from 1997 to 2004, in the Engineering and Supply department. He then became Vice President of MIC Corporation, responsible for the development of commercial, industrial and residential projects in Florida, USA. Since 2008 he has held the position of Executive Director at LOG Commercial Properties.

Felipe Enck Gonçalves CFO and Investor Relations Officer 03/02/2019 03/02/2021

Graduated in Economics at the Pontifical Catholic University of Minas Gerais in 2002 and graduated in Accounting at the Minas Gerais Foundation for Education and Culture in 2007. From 2002 to 2007 he worked at Ernst & Young do Brasil and from 2007 to 2009 he worked at Ernst & Young de London. From 2010 he joined MRV Engenharia as Investor Relations Executive Manager and 2011 transferred to LOG Commercial Properties.

FISCAL COUNCIL

Pursuant to the Brazilian Corporate law, the Fiscal Council is an independent management body from the Company and external auditors. The Fiscal Council may be permanent or non-permanent, in which case it will act during a specific fiscal year when installed at the request of shareholders in the manner and conditions prescribed by law.

The main responsibilities of the Fiscal Council are to audit the management of the Company, review the financial statements of the Company and report its findings to the shareholders. The Brazilian Corporate Law requires Fiscal Council members to receive compensation of at least 10% of the average annual amount paid to directors of the Board. Brazilian Corporate Law also requires that the Fiscal Council should be composed of at least three and at most five members and their alternates.

The Bylaws of LOG Commercial Properties provides for a non-permanent Fiscal Council, composed of up to three members, elected only at the request of the shareholders of the Company in the general assembly. Currently, LOG Commercial Properties has no Fiscal Council installed.

Postgraduated in Procedural Law from Instituto de Educação Continuada of Pontifícia Universidade Católica do Estado de Minas Gerais (2006). Master in Corporate Law from Faculdade Milton Campos (2016), postgraduate in Executive MBA from Fundação Dom Cabral (start in 2017). Founding partner of Lott, Oliveira Braga e Advogados Associados Office (from 2008 until today). He works in Litigious and Advisory Law in Corporate and Civil law areas.

He has several postgraduations in his working field and an MBA in Tax, Audit and Controlling – Fundação Getúlio Vargas, with an extension in Ohio University (2001 – 2002). He was an important officer from the Military Police of Minas Gerais (1966-1974), Arthur Andersen (1974-1978), Municipal Treasury Secretary of Bom Despacho (1989 – 1990), Controller.

He was elected MRV’s Board Member in October/2006. Bachelor’s degree in Economics from Universidade Federal de Minas Gerais UFMG, postgraduate in Finance, Economics and Business areas. He is the CEO of Celulose Nipo-Brasileira S.A. (CENIBRA) since September/2001. He has 42 years of experience with finance in private and public companies, occupying the following positions: President of Intermedium, a multiple bank, and of Credicon from 1994 to 2001; President of Agrimisa Bank from 1988 to 1993, Vice-President of BEMGE de 1987 a 1988; Executive Officer of Minas Gerais Financial Council from 1983 to 1985; Regional manager of Sales Planning and Expor from Belgo-Mineira from 1967 to 1975. Besides MRV, he worked for ohter 3 traded companies, as follows: Regional manager of Sales Planning and Export from Belgo-Mineira from 1967 to 1975, Vice-President of BEMGE from 1987 to 1988, and as Agrimisa Bank President from 1988 to 1993.
